Overview

Corporate governance at Heath Management Associates is an ongoing discipline that is rigorously monitored at all levels within the company. The company's Board of Directors is ultimately responsible to the shareholders and investment community for the accuracy and completeness of Heath Management's financial statements, adherence to strategic objectives, and maintenance of ethical and regulatory compliance.

Continued effective corporate governance is essential to ensure the trust of our patients, physicians, employees, vendors, payors and shareholders alike, in order to lead Health Mangement Associates to enduring success.

Communicating with the Board of Directors

Stockholders and other security holders may communicate directly with the Board of Directors, including for the purpose of recommending nominees to the Board of Directors. Such communication and recommendations for nominations should be sent to: Health Management Associates, Inc., 5811 Pelican Bay Boulevard, Suite 500, Naples, Florida 34108-2710, Attention: Corporate Secretary. The Corporate Secretary will promptly forward all such communications directly to the entire Board of Directors, to the Chairman of the Board, or to such Board committee or individual director to which such communications relate. The Corporate Secretary will also be responsible for identifying security holders communications that do not directly relate to matters for which the Board of Directors is responsible and forwarding such communications to the appropriate person(s) within the Company, as well as identifying and, if appropriate, directly responding to irrelevant or improper communications.
